1. Introduction

Welcome to Notefai! These Terms and Conditions (“T&Cs”) govern your use of our website, mobile app, and any related services (the “Service”). By using the Service, you agree to comply with these terms. Please read them carefully. If you do not agree with any part of these T&Cs, you must discontinue use of the Service immediately.

2. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these T&Cs, our [Privacy Policy], and any additional policies or guidelines. You confirm that you are of legal age to enter into these Terms or have the consent of a parent or guardian. Failure to comply with these terms may result in the suspension or termination of your access to the Service.

Notefai provides AI-driven educational services, including generating notes based on lecture content, offering insights, and recommending supplementary learning materials. The Service aims to enhance the educational experience by facilitating faster comprehension and learning. However, Notefai does not replace professional teaching or academic advisory services. Users must still engage directly with their educational material to maximize learning.

5. User Accounts

To use certain features of the Service, you must create an account. You agree to provide accurate, complete, and current information during registration and to maintain the confidentiality of your login credentials. You are solely responsible for all activities that occur under your account and for promptly notifying us of any unauthorized use or security breach. Notefai is not liable for any loss or damage arising from your failure to safeguard your account credentials.

6. Service Management

Notefai reserves the right, but is not obligated, to:

  1. Monitor the Service: We may monitor activity within the Service to ensure compliance with these T&Cs and applicable laws. We reserve the right to investigate any suspected violations.
  2. Modify the Service: We may change, update, suspend, or discontinue any aspect of the Service, including its functionality, features, and content, without prior notice. Notefai is not liable for any inconvenience or loss resulting from such modifications.
  3. Restrictions on Use: Notefai may impose limits on the use of the Service, including restricting access to certain parts of the Service or limiting the number of downloads. We may also disable accounts that violate these T&Cs.
  4. Account Suspension/Termination for Inactivity: If your account remains inactive for more than six (6) consecutive months, Notefai reserves the right to terminate your account and delete any associated data. You will receive prior notice via email or SMS before account termination.

7. Limitations of Liability

To the extent permitted by law, Notefai’s total liability to you for any claims arising out of or related to these T&Cs or your use of the Service shall not exceed the amount equal to six (6) months of fees paid by you to Notefai in the twelve (12) months preceding the event giving rise to liability.

8. User Data

  1. Data Collection: Notefai collects and processes personal information in accordance with our [Privacy Policy]. This includes information you provide during registration, as well as data generated by your use of the Service (e.g., learning habits, preferences, etc.).

9. SMS Messaging

  1. Consent: By providing your phone number during registration, you consent to receiving SMS messages from Notefai, including but not limited to notifications about your account, updates, and promotional offers.
  2. Opt-Out: You may opt-out of receiving SMS messages at any time by following the instructions in the message or contacting support. Standard message and data rates may apply according to your mobile provider.
  3. Message Delivery: Notefai is not responsible for delayed or failed delivery of SMS messages. Service availability and message delivery depend on your mobile carrier and phone functionality.
  4. SMS Data Use: Data collected from SMS interactions may be used to personalize your experience with the Service, and will be handled in accordance with our Privacy Policy.

10. Subscription and Billing

  1. Subscriptions: Notefai offers subscription-based access to certain features of the Service. Subscriptions are billed on a recurring basis, and the frequency of billing (e.g., monthly, annually) will be specified during the sign-up process. By subscribing, you authorize Notefai to charge your chosen payment method at the beginning of each billing cycle until you cancel the subscription.
  2. Free Trials: Notefai may offer free trials for certain subscription services. At the end of the free trial period, you will be automatically charged the subscription fee unless you cancel the subscription before the trial ends.
  3. Billing Information: You agree to provide accurate and up-to-date billing information. If your payment method fails or is declined, we reserve the right to suspend or terminate your access to the subscription-based features of the Service until payment is successfully processed.
  4. Cancellations: You can cancel your subscription at any time through your account settings. Cancellations will take effect at the end of the current billing period, and you will not be eligible for a refund for any unused portion of the billing period.
  5. Price Changes: Notefai reserves the right to change the pricing of subscription services. You will be notified of any price changes in advance, and any changes will take effect at the start of the next billing cycle. If you do not agree to the new pricing, you may cancel your subscription.

11. Third-Party Services

  1. Third-Party Integrations: Notefai may include integrations with third-party tools, services, or content (such as learning management systems, external note-taking apps, or research databases). Use of third-party services is subject to their own terms and conditions, and Notefai is not responsible for the quality, availability, or performance of these third-party services.
  2. Third-Party Payment Processors: Payment for subscription services may be processed by third-party services. Notefai is not responsible for any errors or issues that arise from your interactions with third-party payment processors.

12. User Content and Feedback

  1. Ownership of User Content: By submitting content (e.g., notes, feedback, etc.) to Notefai, you affirm that you own the rights to this content or have obtained all necessary permissions to submit it. You retain ownership of any intellectual property rights that you hold in that content.
  2. License to Use Content: By submitting content, you grant Notefai a perpetual, royalty-free, worldwide, non-exclusive license to use, display, modify, reproduce, and distribute this content in connection with the operation of the Service.
  3. Feedback: Any feedback, suggestions, or improvements you submit to Notefai may be used to improve our products and services. We are not obligated to compensate you for such feedback.

13. Auto-Renewal of Subscriptions

Your subscription will automatically renew at the end of each billing cycle unless you cancel your subscription through your account settings prior to the renewal date. By agreeing to these T&Cs, you authorize Notefai to charge your payment method on a recurring basis until you cancel your subscription.

14. Compliance with Laws

You agree to use the Service in compliance with all applicable laws, including data protection, privacy, and intellectual property laws. Notefai reserves the right to terminate your account or restrict access to the Service if your use violates any applicable laws or regulations.

15. Miscellaneous

  1. Entire Agreement: These T&Cs, together with any other legal notices or agreements published by Notefai, constitute the entire agreement between you and Notefai concerning the use of the Service. No informal communications or customizations by users will supersede the terms outlined here.
  2. Severability: If any provision of these T&Cs is deemed invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect.
  3. Waiver: The failure of Notefai to enforce any right or provision of these T&Cs will not constitute a waiver of that right or provision.
  4. Assignment: You may not assign or transfer any of your rights or obligations under these T&Cs without our prior written consent. We may assign or transfer our rights and obligations to another party without your consent.
  5. Force Majeure: Notefai shall not be liable for any delay or failure to perform due to causes beyond our reasonable control, including but not limited to acts of God, government regulations, war, terrorism, labor disputes, and internet outages.
